- Review reactivation campaigns

- AI smart messaging
- AI-assisted review replies

- Integrations with third-party tools
- Support, updates, and optimization services
- Related consulting, setup, and implementation services
Specific features, limits, pricing, and service details may vary by package, plan, proposal, invoice, order form, checkout page, or written agreement.
2. Eligibility
You must be at least 18 years old and able to enter into a legally binding agreement to use our services.
If you use our services on behalf of a business, you represent that you have authority to bind that business to these Terms and Conditions.
3. Account and Client Responsibilities
You agree to provide accurate, complete, and current information when using our services.
You are responsible for:
- Maintaining access to your business accounts, website, CRM, and integrations
- Providing accurate business information
- Providing lawful customer or lead data
- Obtaining required permissions and consents
- Reviewing and approving content, automations, and campaigns when requested
- Ensuring your use of the services complies with applicable laws and platform policies
- Maintaining the confidentiality of account credentials and connected platforms
You are responsible for all activity that occurs through your account, systems, automations, websites, connected platforms, or customer lists.
4. SMS/Text Messaging Terms
Pierceworks may send SMS/text messages directly or help our clients send SMS/text messages through Pierceworks-powered systems.
Messages may include review requests, customer follow-up, lead follow-up, missed-call text back, appointment-related messages, service updates, support messages, and other business communications.
By opting in to receive messages, you agree to receive recurring SMS/text messages from Pierceworks LLC or from a business using Pierceworks-powered systems. Message frequency may vary. Message and data rates may apply.
You may opt out at any time by replying STOP to any message. After you reply STOP, you may receive one final confirmation message confirming that you have been unsubscribed. After that, you will no longer receive SMS messages from that messaging program unless you opt in again.

Supported carriers are not liable for delayed or undelivered messages.
SMS consent is not a condition of purchase unless specifically stated in connection with a particular service.
5. A2P, TCPA, CTIA, and Messaging Compliance
If you use Pierceworks services to send SMS, email, or other automated communications, you agree to comply with all applicable laws, regulations, carrier rules, and industry guidelines, including where applicable:
- Telephone Consumer Protection Act, or TCPA
- CAN-SPAM Act
- CTIA Messaging Principles and Best Practices
- A2P 10DLC carrier requirements
- State privacy and telemarketing laws
- Platform and messaging provider policies
- Any applicable opt-in, opt-out, consent, disclosure, and recordkeeping requirements
You agree that you will not upload, import, message, or contact anyone unless you have the proper legal right and consent to do so.
You may not use Pierceworks systems to send messages to:
- Purchased lists
- Rented lists
- Scraped lists without proper consent
- Contacts who have opted out
- Contacts who have not provided proper permission
- Contacts obtained through unlawful or deceptive means
- Contacts for whom you cannot provide proof of consent when required
You are responsible for maintaining proof of consent for contacts you upload, import, or message.
Pierceworks may suspend or terminate messaging services if we believe your use violates applicable law, carrier rules, platform rules, provider policies, or these Terms and Conditions.
6. Review Automation and Review Compliance
Pierceworks may help clients request, collect, display, respond to, or repurpose customer reviews. You agree that all review-related activity must comply with applicable laws and review platform policies.
You may not use Pierceworks services to:
- Create fake reviews
- Buy reviews
- Sell reviews
- Incentivize reviews in a way that violates law or platform policy
- Request only positive reviews while discouraging negative reviews
- Suppress, filter, or manipulate negative reviews unlawfully
- Post reviews from people who did not have a genuine customer experience
- Use AI to generate fake customer reviews
- Misrepresent customer experiences
- Violate Google, Yelp, Facebook, or any other review platform’s policies
Pierceworks does not guarantee that any customer will leave a review, that any review will be positive, that any review platform will publish or keep a review online, or that any review will improve your ranking, reputation, or revenue.
7. AI Tools and Automated Content
Pierceworks may use AI-assisted tools for chat, messaging, review replies, content suggestions, website content, automation workflows, or support.
AI-generated content may be inaccurate, incomplete, outdated, inappropriate, or unsuitable in some situations. You are responsible for reviewing and approving AI-generated content before relying on it, publishing it, sending it to customers, or using it in your business.
Pierceworks does not guarantee that AI-generated content will be error-free, legally compliant, accurate, or suitable for every use case.
8. Website Content and Client Materials
You are responsible for the accuracy, legality, and ownership of all content, materials, logos, images, videos, text, offers, claims, testimonials, customer data, and business information you provide to Pierceworks.
You represent that you have the rights necessary to provide such materials to us and allow us to use them to provide services.
Pierceworks may remove or refuse to publish content that we believe is unlawful, misleading, infringing, harmful, inappropriate, or likely to violate third-party platform rules.
9. Third-Party Platforms and Integrations
Our services may rely on or integrate with third-party platforms, including but not limited to:
- Google Business Profile
- Google reviews
- CRM platforms
- SMS providers
- Email providers
- Website hosting providers
- Payment processors
- Calendar tools
- Automation tools
- Analytics and advertising platforms
- AI service providers
- Review management platforms
- Social media platforms
We are not responsible for third-party platform outages, policy changes, pricing changes, account suspensions, integration failures, API limitations, review removals, ranking changes, deliverability issues, data loss, or other actions outside our control.
Your use of third-party platforms is subject to their own terms, policies, and fees.
10. Payment, Billing, and Subscriptions
Fees, billing terms, package details, and payment schedules are provided on our website, invoice, checkout page, proposal, order form, or written agreement.
Unless otherwise stated in writing:
- Subscription fees are billed monthly in advance.
- Payments are due on the billing date.
- Failure to pay may result in suspension or termination of services.
- Setup fees, monthly fees, and service fees are non-refundable once work has begun or services have been provided.
- Prices may change with notice.
- You are responsible for any taxes, processing fees, chargebacks, or failed payment fees that may apply.
If a package is listed as month-to-month, you may cancel future billing according to the cancellation terms below.
If a package is subject to a minimum commitment, term agreement, or installment agreement, cancellation terms will be governed by the applicable agreement, order form, invoice, or written arrangement.
11. Cancellation
You may cancel your subscription by contacting us at michael@pierceworks.co or calling 419-552-8452.
Unless otherwise stated in writing:
- Cancellation stops future billing.
- Cancellation does not automatically refund prior payments.
- Your services may remain active through the end of the paid billing period.
- After cancellation, certain website, hosting, automation, CRM, messaging, AI, support, or integration features may be disabled.
- If your website is hosted by Pierceworks, cancellation may affect website availability unless you arrange migration or continued hosting.
- We may require reasonable time to process cancellations, export requests, or service transitions.
Cancellation does not relieve you of payment obligations already incurred before the cancellation date.
12. No Guaranteed Results
Pierceworks works to improve websites, review generation, lead capture, follow-up, and local business growth systems. However, we do not guarantee specific results, including:
- Specific number of leads
- Specific number of reviews
- Specific review rating
- Specific Google ranking
- Specific search visibility
- Specific revenue increase
- Specific conversion rate
- Specific advertising or marketing outcome
- Specific customer acquisition result
- Specific deliverability rate
- Specific AI response accuracy
Results depend on many factors outside our control, including your market, competition, pricing, service quality, customer experience, ad spend, reputation, response speed, offer, customer demand, third-party platforms, and platform behavior.
13. Acceptable Use
You agree not to use our website or services to:
- Violate any law, regulation, or third-party right
- Send spam, unlawful texts, unlawful emails, or unauthorized communications
- Upload unlawful, misleading, or harmful content
- Harass, abuse, defame, threaten, or deceive others
- Impersonate another person or business
- Interfere with our systems or security
- Attempt to reverse engineer our software, workflows, automations, or systems
- Use our services for fraudulent, deceptive, or illegal purposes
- Send prohibited content through SMS, email, AI chat, or other communication channels
- Use our systems in a way that harms our reputation, deliverability, carrier standing, platform access, or relationships with service providers
- Upload malware, malicious code, or harmful files
- Attempt to bypass limits, compliance controls, or security measures
We may suspend or terminate access if we believe you violated these Terms and Conditions or created legal, technical, reputational, platform, or compliance risk.
14. Intellectual Property
Pierceworks owns or licenses all rights in our website, software, systems, designs, templates, workflows, automations, AI prompts, processes, documentation, branding, strategies, service structure, and other materials we create, unless otherwise stated in writing.
Subject to full payment and any applicable agreement, clients may receive a limited right to use deliverables created specifically for their business.
You may not copy, resell, sublicense, reverse engineer, distribute, or exploit Pierceworks systems, templates, automations, software, workflows, prompts, documentation, or proprietary materials without written permission.
15. Client Data
You retain ownership of customer data and business information you provide to Pierceworks.
You grant Pierceworks a limited license to use, process, store, transmit, display, and analyze such data as necessary to provide services, maintain systems, troubleshoot issues, comply with law, support messaging compliance, and improve service performance.
You are responsible for ensuring that all client data provided to Pierceworks was lawfully collected and may lawfully be used for the intended purpose.
16. Confidentiality
Each party may receive confidential or proprietary information from the other. Both parties agree to use reasonable care to protect confidential information and not disclose it except as needed to perform services, comply with law, enforce rights, or with permission.
Confidential information does not include information that is publicly available, independently developed, lawfully received from a third party, or already known without restriction.
17. Service Availability
We aim to provide reliable services, but we do not guarantee uninterrupted or error-free operation. Services may be unavailable due to maintenance, updates, outages, third-party failures, security issues, internet issues, provider outages, platform restrictions, or events outside our control.
18. Disclaimers
Our website and services are provided “as is” and “as available.”
To the fullest extent permitted by law, Pierceworks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and performance.
Pierceworks does not provide legal, tax, financial, or compliance advice. You are responsible for consulting appropriate professionals regarding your legal and compliance obligations.
19. Limitation of Liability
To the fullest extent permitted by law, Pierceworks will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, lost business, loss of goodwill, customer loss, platform suspension, account suspension, missed messages, failed automations, or reduced deliverability.
To the fullest extent permitted by law, Pierceworks’ total liability for any claim arising out of or relating to the services will not exceed the amount you paid to Pierceworks in the three months before the event giving rise to the claim.
20. Indemnification
You agree to indemnify, defend, and hold harmless Pierceworks, its owners, employees, contractors, service providers, vendors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use of the services
- Your violation of these Terms and Conditions
- Your violation of any law or regulation
- Your violation of messaging, email, review, AI, privacy, or platform policies
- Your customer data, contact lists, or uploaded information
- Your products, services, claims, offers, or business practices
- Your infringement of any third-party rights
- Your failure to obtain proper consent before contacting customers or leads
- Your review requests, communications, ads, promotions, or marketing activity
21. Termination
We may suspend or terminate access to our services at any time if:
- You fail to pay fees
- You violate these Terms and Conditions
- You misuse our systems
- Your use creates legal, compliance, security, carrier, deliverability, platform, or reputational risk
- A third-party platform requires suspension
- We discontinue a service or feature
- We believe continued service could expose Pierceworks or our providers to risk
Upon termination, your right to use the services ends immediately, except as otherwise stated in writing.
22. Governing Law
These Terms and Conditions are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising from these Terms and Conditions or the services will be handled in the state or federal courts located in Florida, unless otherwise required by law or agreed in writing.
